TERMS OF USE
Citizen Science for Agricultural Prosperity (CSAP)

IMPORTANT: Please read these Terms of Use carefully before accessing or using the CSAP platform. By accessing or using the platform, you accept and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the platform.
1. The Parties and Key Definitions
These Terms of Use (the "Terms") constitute a binding legal agreement between you (the "User") and:
- Growsmartt Collective Intelligence LLC, a limited liability company registered in the Republic of Trinidad and Tobago (Company Registration Number [GROWSMARTT REG NO]), the owner and operator of the CSAP technology platform; and
- Start-up Republic, a not-for-profit company registered in the Republic of Trinidad and Tobago (Company Registration Number [SR REG NO]), the operator of the Citizen Science for Agricultural Prosperity programme,
together referred to as "CSAP", "we", "us", or "our".
In these Terms:
- "Platform" means the CSAP application, website, application programming interfaces (APIs), serverless functions, databases, content management systems, classification engines, reference datasets, controlled vocabularies, and all related software and infrastructure operated by us under the CSAP brand.
- "Content" means any information, photograph, observation, comment, classification, data input, or other material submitted, uploaded, transmitted, or generated through the Platform.
- "User Content" means Content submitted by you.
- "CSAP Content" means all Content owned by, generated by, or licensed to CSAP, including but not limited to the Platform itself, AI classification models, AI prompts, reference lists, controlled vocabulary mappings, methodologies, branding, and all derivative works.
- "Confidential Information" means any non-public information about the Platform, its operation, its underlying methodologies, its commercial arrangements, or its business that you obtain through your use of the Platform or interaction with us.
2. Acceptance of Terms
By creating an account, signing in, submitting Content, or otherwise accessing or using the Platform, you confirm that:
- You have read, understood, and agree to be legally bound by these Terms in their entirety;
- You have read and understood our Privacy Policy, available at growsmartt.com/legal/privacy, which is incorporated by reference into these Terms;
- You are at least 13 years of age and, if under 18, you have parental or guardian consent to use the Platform;
- You have the legal capacity to enter into a binding contract under the laws of Trinidad and Tobago or your jurisdiction of residence;
- All information you provide to us is true, accurate, current, and complete.
We may modify these Terms from time to time by posting a revised version at growsmartt.com/legal/terms. Material modifications will be communicated to registered users in advance. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms.
3. Eligibility and Account Registration
You may use the Platform only if you meet the eligibility requirements set out in Section 2 and are not prohibited from doing so under applicable law.
When you register an account, you agree to:
- Provide accurate, current, and complete information;
- Maintain the security of your authentication credentials, including any third-party sign-in tokens or magic-link credentials;
- Promptly notify us of any unauthorised use of your account or any other security breach;
- Take responsibility for all activities that occur under your account.
We may refuse, suspend, or terminate any account at our sole discretion, including (without limitation) where we have reason to believe an account has been used in violation of these Terms.
4. Intellectual Property and Reservation of Rights
4.1 CSAP’s Reserved Rights
All right, title, and interest in and to the Platform and all CSAP Content, including without limitation:
- all software, source code, object code, scripts, serverless functions, databases, schemas, indexes, and infrastructure;
- all artificial intelligence prompts, classification logic, training data, model weights, fine-tuning artefacts, evaluation harnesses, and accuracy metrics;
- all reference lists, controlled vocabulary mappings (including AGROVOC URI lookup tables), seasonal context heuristics, expert review protocols, and confidence-threshold rules;
- all visual designs, user interface elements, layouts, brand identifiers, names, logos, taglines, and supporting graphics;
- all documentation, training materials, methodologies, and standard operating procedures;
- all derivative works, improvements, modifications, and enhancements of any of the foregoing,
are and shall remain the exclusive intellectual property of Growsmartt Collective Intelligence LLC, licensed to Start-up Republic for the purposes of operating the CSAP programme. No license is granted to you under these Terms except for the limited right to use the Platform as expressly permitted herein. All rights not expressly granted are reserved.
4.2 Your Limited License
Subject to your compliance with these Terms, CSAP grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial use as a citizen science participant or programme stakeholder.
This license is conditional and may be terminated immediately if you breach any provision of these Terms.
4.3 Prohibited Use of CSAP Content
Except as expressly permitted by these Terms, you must not, and must not permit any third party to, do any of the following with respect to the Platform or any CSAP Content:
- copy, reproduce, modify, adapt, translate, or create derivative works;
- decompile, disassemble, reverse engineer, or attempt to derive the source code, structure, AI prompts, methodologies, or trade secrets of the Platform;
- extract, harvest, scrape, or otherwise systematically collect data from the Platform, whether by automated or manual means;
- republish, distribute, sell, sublicense, lease, rent, lend, or otherwise transfer access to the Platform;
- remove, obscure, or alter any proprietary notices, watermarks, or attributions on the Platform or any output thereof;
- use the Platform in any manner that competes with us or with any partner of CSAP;
- use the Platform or any output to train, fine-tune, validate, or otherwise improve any third-party machine learning model.
4.4 Anti-Replication Covenant
You expressly acknowledge that the design, methodology, reference data, and operational logic of the Platform are valuable trade secrets and intellectual property of CSAP, developed at significant cost and effort. You agree that you will not, during your use of the Platform and for a period of three (3) years following the termination or expiration of your access:
- use any data, observation, methodology, classification logic, prompt structure, or other knowledge derived from your access to the Platform to develop, build, market, sell, or otherwise commercialise any product or service that competes with the Platform or any CSAP product or service;
- directly or indirectly assist any third party in developing, building, marketing, or commercialising any such competing product or service;
- use any aggregated trends, hotspot patterns, or analytical outputs of the Platform for any purpose other than the personal, non-commercial use expressly permitted by these Terms.
This covenant is reasonable in scope and duration given the unique nature of the Platform and the substantial investment required to create it. The covenant survives termination of these Terms.
4.5 Confidentiality
You agree to keep all Confidential Information in strict confidence and to use it only for the purposes for which it has been disclosed to you. The obligations in this Section survive the termination of these Terms.
4.6 Trademarks
"CSAP", "Citizen Science for Agricultural Prosperity", "Growsmartt", and the associated logos and brand identifiers are trademarks of their respective owners. You must not use any of these trademarks without prior written authorisation.
5. User Content and License Grant
5.1 Ownership
You retain ownership of the User Content you submit to the Platform, subject to the licenses you grant to us under these Terms.
5.2 License to CSAP
By submitting User Content, you grant to Growsmartt Collective Intelligence LLC and Start-up Republic a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, sublicensable license to:
- host, store, reproduce, process, and display User Content on the Platform;
- use User Content to operate, improve, and develop the Platform, including for AI training and validation;
- aggregate and de-identify User Content for the production of public-benefit agricultural intelligence outputs;
- share User Content in aggregated or de-identified form with research and programme partners under appropriate data-sharing agreements;
- use User Content for grant reporting, peer-reviewed research, and public communications about the CSAP programme.
5.3 Representations and Warranties
You represent and warrant that:
- you own or have all necessary rights to submit the User Content and grant the licenses described in this Section;
- your User Content does not violate any law, infringe any third-party intellectual property right, breach any contractual obligation, or contain defamatory, obscene, or otherwise objectionable material;
- any individual identifiable in any photograph or other content you submit has consented to the inclusion of their identity for the purposes described in these Terms and our Privacy Policy.
5.4 Content Removal
We reserve the right, but assume no obligation, to review, monitor, or remove any User Content at our sole discretion, including (without limitation) Content we believe violates these Terms, infringes third-party rights, or is otherwise objectionable.
6. Acceptable Use
You must not use the Platform to:
- violate any applicable law, regulation, or contractual obligation;
- infringe the intellectual property, privacy, publicity, or other rights of any person;
- upload, transmit, or distribute viruses, worms, malware, or other harmful code;
- engage in spamming, unsolicited communication, or harassment;
- attempt to gain unauthorised access to any account, system, or data;
- interfere with or disrupt the Platform or any servers or networks connected to the Platform;
- misrepresent your identity, affiliation, or qualifications;
- submit knowingly false, misleading, or fabricated observations or other Content;
- use the Platform for any commercial purpose not expressly permitted by these Terms.
7. AI Classification and Advisory Information
The Platform uses artificial intelligence and reference data to produce classifications, observations, recommendations, and other advisory information. You acknowledge and agree that:
- AI classifications are probabilistic and may be inaccurate or incomplete;
- Recommended actions are general guidance only and are not a substitute for professional advice from qualified agricultural extension officers, plant pathologists, or other domain experts;
- We expressly disclaim any liability for crop loss, yield reduction, financial loss, or other damages arising from your reliance on AI outputs or recommended actions;
- You should always seek qualified professional advice before making material decisions based on Platform outputs, particularly with respect to pesticide application, soil amendment, or other interventions that may have safety, environmental, or financial consequences.
8. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR UNINTERRUPTED OPERATION.
We do not warrant that the Platform will meet your requirements, that operation of the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform is free from viruses or other harmful components.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CSAP, INCLUDING GROWSMARTT COLLECTIVE INTELLIGENCE LLC, START-UP REPUBLIC, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, CROP LOSS, OR YIELD REDUCTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS EXCEED THE GREATER OF (A) ANY AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) THE EQUIVALENT OF ONE HUNDRED UNITED STATES DOLLARS (USD 100).
THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.
10. Indemnification
You agree to defend, indemnify, and hold harmless CSAP, including Growsmartt Collective Intelligence LLC, Start-up Republic, and their respective officers, directors, employees, agents, partners, and licensors, from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your use of the Platform;
- your breach of these Terms or any representation or warranty contained herein;
- your violation of any law or third-party right.
11. Termination
You may terminate your account at any time by following the account-deletion process within the Platform or by contacting us at info@citizenscienceag.org.
We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, including (without limitation) if we reasonably believe that you have breached these Terms or that continued access poses a risk to the Platform, other users, or third parties.
On termination:
- all licenses granted to you under these Terms immediately terminate;
- the licenses granted by you to CSAP under Section 5.2 (User Content) survive in accordance with their terms;
- the obligations under Sections 4 (Intellectual Property), 5.2, 5.3, 7, 8, 9, 10, 12, and 13 survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict-of-laws principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, shall be resolved as follows:
- First, by good-faith negotiation between the parties for a period of not less than thirty (30) days;
- If unresolved, by mediation under the Trinidad and Tobago Mediation Act 2004 in Port of Spain;
- If still unresolved, by the exclusive jurisdiction of the High Court of Justice of Trinidad and Tobago.
You waive any objection to the jurisdiction or venue of these proceedings.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and us with respect to the Platform and supersede all prior agreements and understandings, whether written or oral.
13.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 No Waiver
No failure or delay by us in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.
13.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, or operation of law.
13.5 No Partnership
Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and us.
13.6 Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, war, terrorism, civil unrest, labour disputes, or failure of telecommunications or information services.
13.7 Notices
We may give notice to you by email at the address associated with your account or by posting a notice on the Platform. You may give notice to us by email at info@citizenscienceag.org.
13.8 Language
These Terms are drafted in English. Any translation provided is for convenience only, and the English-language version shall prevail in case of any discrepancy.
